These Terms of Service (“Terms”) are a binding agreement between you (or the organization you represent) and ThreadScanner LLC (doing business as ThreadScanner; “ThreadScanner,” “we,” “us”). They govern your access to and use of the ThreadScanner desktop application, this website, and related services (together, the “Service”). By downloading, installing, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ThreadScanner is a local-first email-security tool that helps you analyze suspicious email for phishing, business email compromise, and malicious payloads. It is intended as a complement to — not a replacement for — your email gateway or other security controls. Analysis is performed on your device.
2. Eligibility & accounts
You must be at least 16 years old and able to form a binding contract. You are responsible for the accuracy of the information you provide and for safeguarding your license key and any credentials you use with the Service.
3. Licenses, plans & seats
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal business or personal use. Paid plans are licensed per the tier and seat count you purchase. A “seat” corresponds to a distinct device or user as described at purchase. The Service may register devices to a license to report seat usage; you agree not to exceed your licensed seats or to circumvent license controls. We may offer free, trial, or design-partner licenses that may have additional or different terms.
4. Billing, renewals & refunds
Paid subscriptions are billed in advance through our payment processor, Stripe, on the cadence you select (e.g. monthly or annual) and renew automatically until cancelled. You authorize us and Stripe to charge your payment method for the recurring fees and applicable taxes. You can cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable. We may change prices on renewal with reasonable prior notice.
5. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Service to analyze email or systems you are not authorized to review.
- Use the Service for any unlawful, infringing, or harmful purpose.
- Reverse engineer, decompile, or attempt to extract source code, signing keys, or models, except to the extent this restriction is prohibited by law.
- Resell, sublicense, or provide the Service to third parties except under an authorized reseller/MSP arrangement with us.
- Circumvent license, seat, or security controls, or interfere with the integrity or performance of the Service.
6. Third-party & AI providers
The Service can connect to third-party services you configure, such as your email provider or optional cloud AI providers, using your own credentials and API keys. Your use of those services is governed by their terms, and you are responsible for any fees and for the data you choose to send to them. ThreadScanner is not responsible for third-party services.
7. Intellectual property
The Service, including its software, models, design, and trademarks, is owned by ThreadScanner and its licensors and is protected by intellectual-property laws. Except for the license granted above, no rights are transferred to you. You retain all rights to your own data.
8. Privacy
Our handling of personal data is described in our Privacy Policy. Enterprise customers may request a Data Processing Agreement (DPA).
9. Beta & pre-release features
Some features (and the Service during private beta) may be provided on a pre-release basis. They may change, be unstable, or be discontinued, and are provided “as is” without warranties of any kind.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ThreadScanner is a decision-support tool: it does not guarantee detection of every threat or that any message it does not flag is safe. You remain responsible for your own security decisions. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THREADSCANNER AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You will defend, indemnify, and hold harmless ThreadScanner from third-party claims arising out of your misuse of the Service or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. On termination, your license ends and you must stop using the Service; sections that by their nature should survive (e.g. payment, disclaimers, liability, and indemnity) will survive.
14. Changes to these Terms
We may update these Terms from time to time. For material changes we will provide reasonable notice (for example, by updating the date above or notifying you). Your continued use of the Service after changes take effect constitutes acceptance.
15. Governing law & disputes
These Terms are governed by the laws of the State of Connecticut, USA, without regard to conflict-of-laws rules, and the courts located in the State of Connecticut, USA will have exclusive jurisdiction over disputes, except where applicable law provides otherwise.
